These Terms of Service ("Terms") govern your access to and use of the website located at janemand.com and the Sinanote construction project management platform (collectively, the "Services") provided by Janem Labs LLC ("Janem Labs," "Company," "we," "us," or "our"), a Limited Liability Company organized and existing under the laws of the State of Wyoming, United States, with its registered office at 30 N Gould St Ste R, Sheridan, WY 82801, United States.
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. If you are accessing the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, in which case "you" refers to that entity.
Janem Labs LLC provides Sinanote, an AI-powered construction project management and program management office (PMO) platform, along with the associated website and related services. Sinanote enables construction professionals to plan, manage, and deliver construction projects through tools including AI-assisted scheduling, risk analysis, contract management, reporting, and team collaboration features.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services, except as expressly provided in a separate written agreement between you and Janem Labs LLC.
To access certain features of the Services, you must create an account. When registering, you agree to provide accurate, current, and complete information and to update that information to keep it accurate and current. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to notify Janem Labs immediately of any unauthorized use of your account or any other security breach at connect@janemand.com. Janem Labs will not be liable for any losses resulting from unauthorized use of your account that occurs before notification to us, except to the extent caused by our negligence or willful misconduct.
You may not share your account credentials with others, create accounts by automated means, or use another user's account without authorization. Organizations using Sinanote are responsible for ensuring that all users within their organization comply with these Terms.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
The Services and all content, features, and functionality thereof — including but not limited to software, algorithms, AI models, text, graphics, logos, user interfaces, and underlying technology — are owned by Janem Labs LLC and are protected by copyright, trademark, trade secret, and other intellectual property laws of the United States and other jurisdictions. These Terms do not grant you any right, title, or interest in the Services or our intellectual property except for the limited license expressly set forth herein.
You retain ownership of all project data, documents, schedules, and other content you create, upload, or input into the Services ("Your Content"). By providing Your Content to the Services, you grant Janem Labs LLC a limited, non-exclusive, worldwide license to store, process, and use Your Content solely for the purpose of operating and improving the Services and providing them to you. We do not claim ownership of Your Content.
If you provide feedback, suggestions, or ideas regarding the Services, you grant Janem Labs a non-exclusive, royalty-free, perpetual, irrevocable license to use and incorporate such feedback into the Services without obligation to you.
Access to certain features of Sinanote may require payment of subscription fees. Fees, billing cycles, and payment terms are described in the applicable subscription plan or order form. All fees are stated in US dollars and are non-refundable except as expressly provided in these Terms or required by applicable law.
We reserve the right to change our pricing at any time. If we change pricing for your subscription, we will provide at least thirty (30) days' advance notice via email to the address associated with your account. Your continued use of the Services after the price change takes effect constitutes your acceptance of the new pricing.
If payment is not received by the due date, we may suspend or terminate your access to the Services. You are responsible for all taxes applicable to your use of the Services, excluding taxes based on Janem Labs LLC's net income.
Each party agrees to maintain the confidentiality of the other party's Confidential Information using at least the same degree of care it uses to protect its own confidential information, but not less than reasonable care. "Confidential Information" means information designated as confidential or that reasonably should be understood to be confidential given its nature and the circumstances of disclosure. This obligation does not apply to information that is or becomes publicly known through no fault of the receiving party, is rightfully received from a third party without restriction, or is required to be disclosed by law or court order.
Our collection and use of information about you is governed by our Privacy Policy, available at janemand.com/privacy. By using the Services, you consent to the collection and use of information as described in the Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.
The Services may integrate with or contain links to third-party websites, services, or platforms. These integrations and links are provided for your convenience only. Janem Labs LLC is not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is subject to their respective terms and conditions, which you should review independently.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. JANEM LABS LLC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
JANEM LABS LLC'S AI-POWERED FEATURES, INCLUDING THE PMO ASSISTANT, RISK ANALYSIS ENGINE, AND SCHEDULE INTELLIGENCE TOOLS, PROVIDE ANALYTICAL INSIGHTS INTENDED TO SUPPORT HUMAN DECISION-MAKING. THESE FEATURES ARE NOT SUBSTITUTES FOR PROFESSIONAL JUDGMENT. YOU ARE SOLELY RESPONSIBLE FOR ALL DECISIONS MADE IN RELIANCE ON OUTPUTS FROM THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JANEM LABS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF JANEM LABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL JANEM LABS LLC'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO JANEM LABS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
You agree to indemnify, defend, and hold harmless Janem Labs LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your use of or access to the Services in violation of these Terms; (b) Your Content; (c) your violation of any third-party rights; or (d) your violation of any applicable law or regulation.
You may terminate your account at any time by contacting us at connect@janemand.com. Janem Labs LLC may suspend or terminate your account or access to the Services at any time for any reason, including if we believe you have violated these Terms, with or without notice.
Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including Sections 4, 9, 10, 11, 13, and 14.
These Terms and any disputes arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved by mutual agreement shall be submitted to binding arbitration in Sheridan County, Wyoming, administered under the commercial arbitration rules of the American Arbitration Association. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration, and claims of $5,000 or less may be brought in small claims court.
These Terms, together with the Privacy Policy and any applicable order form or subscription agreement, constitute the entire agreement between you and Janem Labs LLC regarding the Services and supersede all prior agreements and understandings.
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Failure by Janem Labs LLC to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
You may not assign your rights or obligations under these Terms without our prior written consent. Janem Labs LLC may assign these Terms in connection with a merger, acquisition, or sale of assets without restriction.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance.
